Terms and conditions of WAON Point program

ARTICLE 1. OBJECTIVES OF THE PROGRAM

1.1. ACSTV and Participating Partners introduce the WAON POINT Program on the Vietnamese market, which will be conducted via the Mobile Applications, to provide Customers with convenience and expand the Customers’ benefits by establishing a digital ecosystem using a common platform between ACSTV and Participating Partners.


1.2. When participating in the WAON POINT Program, Customers who purchase the Participating Partners’ goods or services will be entitled to corresponding benefits under the Participating Partners’ promotion programs in accordance with the laws.

 

ARTICLE 2. OVERVIEW OF THE WAON POINT PROGRAM

 2.1.1. WAON POINT Program is a joint sale promotion program (i) implemented and operated by ACSTV in accordance with the Agreements signed between ACSTV and the Participating Partners who agreed with the content of the Policy, Terms & Conditions of the Program; and (ii) implemented on the Mobile Applications owned by or licensed to Participating Partners.


2.2. Within the scope of the WAON POINT Program, Members can register accounts via the Mobile Applications and use the Mobile Applications to earn WAON Points when purchasing goods/services at the Shopping Stores of the Participating Partners with the key benefits as follows:


2.2.1. Accumulate WAON Points when Members purchase goods/services, redeem Accumulated Points into WAON Vouchers and use such WAON Vouchers for payment to purchase goods/services at the Shopping Stores of the Participating Partners.


2.2.2. Receive promotional information via messaging platforms or notifications on the Mobile Applications anytime and anywhere.


2.2.3. Enjoy other benefits exclusive to Members subject to policies of the WAON POINT Program from time to time.


2.3. Members may use the Mobile Applications at the Shopping Stores to partcipate in all activities within the scope of the WAON POINT Program, including but not limited to accumulate WAON Points for any Purchase Transaction.


2.4. Before registering to become Members of the WAON POINT Program, Customers must thoroughly read, acknowledge and agree with the Policy, Terms and Conditions.


2.5. The Policy, Terms and Conditions shall be considered as an agreement between Members and Us. If Members do not agree to any part of the Policy, Terms and Conditions, Members are requested not to make any Membership Registration and/or activate any Member’s Account. It is recommended that the Customers should thoroughly read all provisions under the Policy, Terms and Conditions.


2.6. For clarity, by becoming Members of the Program, Members consent and allow Us to store and use the Members’ information and all data on the Mobile Applications relating to the Members’ Purchase Transactions to directly support marketing, statistics, management activities and other Program-related activities. All Member-related data will be collected, stored, and managed in accordance with the Personal Data Protection Policy of the Program.


2.7. To the extent legally permitted, we may revise and update the Policy, Terms and Conditions at any time without prior notice to the Members. Changes to the Policy, Terms and Conditions will be negotiated with the Participating Partners and will be updated and notified to Members via the Participating Partners’ Mobile Applications.


2.8. By participating in the Program, Members acknowledge that they have read, understood, and agreed to these Policy, Terms and Conditions and all other contents of the Program as published on the Mobile Applications subject to updates from time to time.


2.9. In accordance with the law, if We make any changes and updates to any content in the Policy, Terms and Conditions, We will notify upon making such updates to the Policy, Terms and Conditions as well as the content of the new Policy, Terms and Conditions for Members’ information. Upon receipt of the abovementioned notice, by continuing to participate in the Program, Members acknowledge that they have read, understood and agreed to all the contents specified in the new Policy, Terms and Conditions.


2.10. Members agree that We shall not be liable if We are unable to perform wholly or partily any of our obligations whether directly or indirectly, the failure of any mechanical or electrical device, data processing system, transmission line, electrical failure, any actions, any faults, any events beyond Our control or any factors in a nature of a force majeure event in accordance with the laws.


2.11. By participating in the Program, the Members agree to authorize the Participating Partners and the Participating Partners agree to receive such authorization to receive payment of the Promotion Expenses from ACSTV in accordance with the Agreement.


2.12. Our decisions for all Program-related issues and disputes are final and binding upon Members.

 

ARTICLE 3 POLICY OF WAON POINT PROGRAM

3.1. Membership Registration policy and required Member’s information for Membership Registration


3.1.1. Terms and conditions for Membership Registration


(i) Customers shall install and register for Member’s Accounts directly via the Mobile Applications.


(ii) Each Customer is permitted to register only one (01) Member’s Account using one (01) mobile phone number.


(iii) Customers conducting the Membership Registration must fulfil the following requirements:

a. Individual at least 16 years old, possess civil legal capacity and civil act capacity to make and execute civil transactions by themselves, except for transactions that must be approved by their legal representative(s) at the time of registration (if applicable) in accordance with the law.


b. Have a suitable device to access and use the Mobile Applications.


c. Have valid and active Personal ID Documents in accordance with Vietnamese laws.


d. Agree and comply with the Policy, Terms and Conditions of the WAON POINT Program, and the Personal Data Protection Policy in accordance with Part 2 of Appendix 04 attached to the Agreement.


3.1.2. Required personal information for Membership Registration
When conducting Membership Registration via the Mobile Applications, Customers are required to provide the following mandatory information:

3.2. WAON Points accumulating policy and mechanism of the Program


3.2.1. WAON Consumption Points


(i) The conditions to acquire WAON Consumption Points are as follows:

WAON Consumption Points are recorded at the Shopping Stores and reflected in the Mobile Application following the completion of a Valid Purchase Transaction

Based on the total purchase amount of Members’ Valid Purchase Transactions in VND, WAON Consumption Points are calculated as follows:

(1)      For every 10,000 VND paid for Valid Purchase Transactions, Members earn one (01) Point except for goods/services that are not permitted to be promoted goods/services in accordance with the law.

(2)      In case a Valid Purchase Transaction is eligible for other promotional programs and/or an WAON Vouchers is used, the WAON Consumption Points shall be calculated using the method at item (1) above on the total amount that the Member must pay after deducting the total value of the WAON Vouchers and/or the applied promotional programs.

(3)      Members can accumulate WAON Consumption Points through a special mechanism at times announced by the Participating Partner at the Partner's own Shopping Stores.

i) At AEON Vietnam Participating Partner’s Shopping Stores: For every 10,000 VND paid for Valid Purchase Transactions on the 15th of each month, Members earn two (02) Points except for goods/services that are not permitted to be promoted goods/services in accordance with the law.

ii) At other Participating Partners: to be updated later

(4)      Valid Purchase Transactions at the Shopping Stores of AEONMALL Vietnam and its branches, include cashless payment transactions through Payoo EDC operated by AEONMALL Vietnam and payment transactions on the AEON MALL PLUS e-commerce platform.

WAON Consumption Point Accumulating Period

WAON Consumption Points shall be credited into the Members’ accounts immediately upon the completion of the Purchase Transactions.

 

(ii) Steps of accumulating WAON Consumption Points when shopping at Shopping Stores of Participating Partners depend on the operating conditions of each Participating Partner are as below:
The Participating Partner is not AEONMALL Vietnam and its branches, AEONMALL Celadon Tan Phu, AEONMALL Binh Tan:


a. Step 1: Member to present his/her Membership QR Code/ Membership Barcode on the Mobile Applications at cashier counters when making a Purchase Transaction.


b. Step 2: The cashier to scan the Member’s Membership QR Code/Membership Barcode for the PMS to recognize the Member.


c. Step 3: If the Member would like to use WAON Vouchers for payment, the Member shall present the QR Codes of the WAON Vouchers on the Mobile Applications for the cashier to scan before confirming the transaction.


d. Step 4: The Consumption Points will be credited into the Member’s Account of the Member on the Mobile Applications immediately after the Purchase Transaction is completed, except where there is any system failure/issue of the Mobile Applications or internet connection issues or other cases that have already been stipulated in this Agreement or informed to the Members.

The Participating Partner is AEONMALL Vietnam and its branches, AEONMALL Celadon Tan Phu, AEONMALL Binh Tan:

a. Step 1: Member successfully complete the payment on the Payoo EDC devices operated by AEONMALL Vietnam at cashier counters when making a Purchase Transaction. If the Member would like to use WAON Vouchers for payment, the Member shall present the QR Codes of the WAON Vouchers on the Mobile Applications for the cashier to scan before confirming the transaction.


b. Step 2: Member to present his/her Membership QR Code/ Membership Barcode on the Mobile Applications at cashier counters after successfully completing Purchase Transaction at Step 1.


c. Step 3: The Consumption Points will be credited into the Member’s Account of the Member on the Mobile Applications immediately after completing Step 2, except where there is any system failure/issue of the Mobile Applications or internet connection issues or other cases that have already been stipulated in this Agreement or informed to the Members.


(iii) The Member must present his/her Membership QR Code/ Membership Barcode using the Mobile Applications before confirming a transaction at the Shopping Stores in order to accumulate WAON Consumption Points. According to the announcements at each Participating Partner's Shopping Store, Members can accumulate WAON Consumption Points through alternative methods updated by the Participating Partner from time to time. ACSTV and the Participating Partners will NOT resolve any Consumption Point-related requests or complaints if the Member failed to present their Membership QR Code/Membership Barcode or other notified methods at cashier counters.


(iv) In the occurance of any error or issue with the Mobile Applications or with the internet connection, or other cases prescribed in the Agreement or already notified to Members, that result in a failure in accumulating WAON Consumption Points after a Purchase Transaction has been completed or inability to verify whether WAON Consumption Points have been accumulated at Cashier Counter, Members will need to contact Member support channels as provided in Article 3.4.5 for further help and support.


(v) Expiration of WAON Consumption Points:


a. Accumulated Points are valid for up to two (02) years based on the date on which Point are originally added to Member’s Accounts after the registration. The original month of accumulating Points for the first time becomes the reference month of accumulating points.


b. From the second year onwards, the expiration date will fall on the last day of the reference month.


c. Members may check their Consumption Point information and transaction history in their Members’ Accounts. ACSTV reserves the right to update and/or modify any such information from time to time to rectify any error or to revoke any issued Consumption Points, including cases where ACSTV has reasons to identify Members’ Purchase Transactions as suspicious, illegal, or crime-related in any manner, or using WAON Consumption Points/WAON Vouchers that the Members have obtained from dishonest or fraudulent instrument/methods. After update/modify, ACSTV has the responsibility to inform the change to Participanting Partners.


d. Example: If Members earn Points for the first time within January 2024, then 31st January every year becomes the base date of point expiration. The Accumulated Points from January 2024 to the end of January 2025 are considered as Accumulated Points in the FIRST YEAR and will therefore expire on the end of January 2026. This means that Members can accumulate Points and enjoy using Points up to two (02) years period.


3.2.2. WAON Campaign Points


(i) The conditions to acquire WAON Campaign Points are as below:

(ii) The WAON Campaign Points are displayed in the “Point Transaction History” on the Mobile Applications. Points that are considered as “Available Points” can be used immediately for WAON Voucher redemption in accordance with the Program's regulations.


(iii) The validity period of the WAON Campaign Points will be displayed on the Mobile Applications and adhere to the Program’s Policy from time to time. The WAON Campaign Points that have been accumulated but not redeemed will expire at the end of the validity period.


3.3. WAON Points usage policy and mechanism of the Program


3.3.1. WAON Points usage mechanism


(i) Point Redemption


a. Accumulated Points are NOT money, cash, or any kind of currency, and are not exchangeable for money. Accumulated Points are only redeemable for WAON Vouchers on the Mobile Applications, and cannot be transferred, purchased, sold, or exchanged for cash in any way.


b. Accumulated Points are exchanged into WAON Vouchers based on the principle that the accumulated points have already been calculated and exchanged in advance on the PMS.


c. The Point Redemption policy may vary by promotional programs or from time to time.


(ii) WAON Vouchers


a. There are six (06) types of WAON Vouchers available for redemption:


(1) 100 points are exchangeable for an WAON Voucher worth 10,000 VND;
(2) 300 points are exchangeable for an WAON Voucher worth 30,000 VND;
(3) 500 points are exchangeable for an WAON Voucher worth 50,000 VND;
(4) 1,000 points are exchangeable for an WAON Voucher worth 100,000 VND;
(5) 1,500 points are exchangeable for an WAON Voucher worth 150,000 VND; and
(6) 3,000 points are exchangeable for an WAON Voucher worth 300,000 VND.


b. Members may use these WAON Vouchers for payment of their Purchase Transactions at Shopping Stores of Particpating Partners. In case the value of the Purchase Transaction is lower than the redeemable value of the WAON Vouchers, the Members will not be entitled to the residual, if any, under any circumstances.


c. WAON Vouchers cannot be used for the purpose of setting off any other fees (e.g. delivery or logistical fees), charges, taxes, or expenses related to the Purchase Transactions.


d. WAON Vouchers cannot be redeemed for certain products that are legally prohibited or restricted from doing so or subject to restrictions under the Participating Partners’ policies, examples of which include tobacco, alcohols, breast-milk substitutes and other products/services prohibited from being promotional. WAON Vouchers is accepted according to product policy upon checkout at each Participating Partners.


e. When a Member would like to use his/her WAON Vouchers, the Member shall present to the cashier at checkout the QR Codes of such WAON Vouchers on the Mobile Applications.


f. The detailed applicable terms and conditions, and expiry date or the valid period of each WAON Vouchers shall be displayed on that WAON Voucher.

g. In case Members are unable to use WAON Vouchers, Members will need to contact Member support channels as provided in Article 3.4.5 for further help and support.


3.3.2. Refund of WAON Points


(i) If Members request and are approved to return/not use the Participating Partners’ goods/services and the WAON Points have already been accumulated for the Purchase Transaction of such goods/services, the Accumulated Points will be returned to the Program corresponding to the points exchanged based on the total value of the returned goods/services for the Purchase Transaction subject to the exchange, refund policy of each Participating Partner.


(ii) If the Accumulated Points have already been redeemed into WAON Vouchers and Members request to return such WAON Vouchers to take back their WAON Points, this request of returning the WAON Vouchers will not be approved.


3.4. Operating principles of the Program


3.4.1. Customers will not be charged when participating and becoming Members of the WAON POINT Program.


3.4.2. The Mobile Applications will be provided to Customers with Vietnamese and English (if applicable) as the default languages.


3.4.3. Members can check the accumulation history and exchange history of their Accumulated Points within a maximum period of the most recent six (06) months on the Mobile Applications.


3.4.4. Members may, on their own, change their information on the Mobile Applications, except the following registered information: Mobile Number, Full Name, Date of birth, Gender, Nationality, Personal ID Document Type and Number. When Members would like to change this information, please contact the Member support channels in accordance with Article 3.4.5 below.


3.4.5. Members may contact the following Member support channels for Program-related issues as prescribed in this Appendix:


(i)   Customer Service Department of ACS Trading Vietnam Company LTD.
(ii)  Hotline: 19005150
(iii) Email: waonpoint.support@acsvietnam.com.vn; or
(iv) Participating Partners’ customer service counters.

 

ARTICLE 4. TERMINATION OF PROGRAM’S PARTICIPATION/PERFORMANCE

4.1. At any point after Members’ Membership Registration and becoming Members of the WAON POINT Program, Members may terminate their participation in the WAON POINT Program by contacting the Member support channels provided in Article 3.4.5 of the Policy, Terms and Conditions.


4.2. ACSTV has the right to freeze/terminate the membership and cancel all WAON Points of any Member upon discovering any violation of that Member of the Policy, Terms & Conditions. This shall be done by an advance notice sent to the Participating Partners owning the Mobile Applications for the Participating Partners to notify the violating Members of their violation. The notice may be sent directly via the Mobile Applications, the Participating Partners’ websites, or emails.


4.3. In the event that the Participating Partners and/or ACSTV suspend or cancel in whole or in part the WAON POINT Program before the period announced to Members in accordance with the law, the Participating Partners and/or ACSTV shall:


4.3.1. Make a public announcement to Members using one of the methods including Mobile Applications, the Participating Partners’ websites, or via email;


4.3.2.To the best of the Participating Partners’ and/or ACSTV’s ability, ensure the rights and benefits of all active Members of the WAON POINT Program;


4.3.3. To the best of the Participating Partners’ and/or ACSTV’s ability, perform all existing commitments to the active Members of the WAON POINT Program; and


4.3.4. Any valid Accumulated Points and redeemed WAON Vouchers that have not expired shall be cancelled upon the termination of the WAON POINT Program

 

ARTICLE 5. REVISION AND CANCELLATION

5.1. ACSTV bears the responsibility for revision and cancellation of the Policy, Terms and Conditions in accordance with this Article. The Participating Partners are responsible for coordinating with ACSTV to carry out the procedures required by laws (if applicable).


5.2. Any revision and/or cancellation of the Policy, Terms and Conditions shall be subject to the agreement in writing between the Participating Partners and ACSTV.


5.3. ACSTV may revise or modify the terms and conditions at any time in accordance with the laws for the purpose of strengthening, upgrading, and perfecting the Program to align with business objectives. ACSTV will update the Policy, Terms and Conditions and notify the latest version to the Participating Partners to enable the Participating Partners to notify the Members of the updates. The Members can view and consider the updated Policy, Terms and Conditions on the Mobile Applications prior to trading. Members who have been informed of the updated terms and conditions and continue to participate in the Program are deemed to have accepted the latest terms and conditions.

 

ARTICLE 6. TERMS AND CONDITIONS

6.1. The Members are not permitted to use the Mobile Applications in any of the following cases or for any of the following purposes:


6.1.1. Illegal actions, fraudulent behaviors, or other activities aiming at causing damages to ACSTV, Participating Partners, or other Members, or supporting criminal activities;


6.1.2. Any defamation, harassment, threat, or infringement of other persons' rights, including rights to any and all information shown on the Mobile Applications;


6.1.3. Interference to other Members’ use of Mobile Applications in any form;


6.1.4. Deliberately spreading computer viruses, malicious codes.

 

ARTICLE 7. MEMBERS’ RIGHTS AND RESPONSIBILITIES

7.1. Rights of Members


7.1.1. To earn WAON Points and redeem Points in accordance with the Policy, Terms and Conditions.


7.1.2. To be entitled to promotional programs exclusive to Members within the scope of the Program.


7.1.3. Submit requests for clarification of information or complaints about the Program to Us.


7.2. Responsibilities of Members


7.2.1. To comply with the Policy, Terms and Conditions and Personal Data Protection Policy of the Program published on the Mobile Applications.


7.2.2. To keep their Members’ profile information updated via the Mobile Applications using the methods prescribed in the Policy, Terms and Conditions.


7.2.3. To use the Mobile Applications in a lawful manner, not to use the Mobile Applications for activities as prescribed in Article 6.1 of the Policy, Terms and Conditions or any other illegal activities.


7.2.4. To be liable for indemnifying and holding Us harmless from any claims, actions, procedural actions, obligations, damages, payments, fines, and other related costs arising out of or in relation to Members’ violation of or non-compliance with regulations of the Policy, Terms and Conditions or any other regulations or guidelines related to the Program.


7.2.5. Members hereby confirm that Members have clearly understood and agree to enable Us to collect, store, use, disclose, and share any information related to the Members which are collected from the WAON POINT Program, including the Members' personal information for/with consultants, lawyers, auditors, authorities, or for/with any third party that We deem appropriate for the purposes of conducting the WAON POINT Program and/or other programs in accordance with Our business plan and/or service provision for the sake of the Members subject to the Personal Data Protection Policy of the WAON POINT Program and the applicable laws, etc.. These third parties receiving the information undertake to comply with the Personal Data Protection Policy of the Program.

 

ARTICLE 8. OUR RIGHTS AND RESPONSIBILITIES

8.1. Our Rights


8.1.1. o refuse to provide, cancel, reclaim, or revoke the WAON Points and/or WAON Vouchers which the Members have received or will receive under the Program on the Mobile Applications without prior notice to the Members in the following cases:


(i) When the Members return/cancel valid Purchase Transaction in accordance with the return/cancellation policies under the Policy, Terms and Conditions, the accumulated WAON Points corresponding to the value of the returned/cancelled goods/services in each Purchase Transaction shall be revoked by Us from the Member’s Account.


(ii) ny Points that are not correctly and validly credited to the Member’s Account in accordance with the Program’s regulations shall be revoked by Us from the Member’s Account.


(iii) If the Members display signs of using fraudulent tools or methods to abuse the Program and/or other promotional programs provided by Us for personal gains.


(iv) If the Members violate the Policy, Terms and Conditions and/or other promotional programs that We announce from time to time.


(v) If the Members agree to the revocation of Points in accordance with the terms and conditions of other programs that We announced from time to time (if any).


(vi) In force majeure events in accordance with Vietnamese laws.


8.1.2. To collect, store, and use the Members’ information and transaction data collected from the Mobile Applications in accordance with the Policy, Terms and Conditions and the Personal Data Protection Policy of the WAON POINT Program.


8.1.3. To refuse to resolve any complaint about the Members’ personal information leak due to the Members’ own fault in leaking their Member’s Account information.


8.1.4. We reserve the rights to modify, suspend, terminate, and/or cancel the Program and/or supplying of Points and exchange of WAON Vouchers at any time and for any reason, by a prior notice to Members in accordance with the Policy, Terms and Conditions. We shall not be held liable to the Members against any losses or damages caused by such modification, suspension, termination, or cancellation.


8.1.5. We reserve the rights to, at any time, verify and inspect Members’ activities and/or details. If Members fail to provide any appropriate evidence/information at Our request for the purposes of such verification, the Members shall not be granted Points and/or any WAON Vouchers and We will not provide any alternative promotions. Without prejudice to any of our other rights available to us under the law and the Policy, Terms and Conditions, We have the discretion to, without any prior notices or being held liable to Members, take any actions that We may deem necessary or appropriate to prevent, detect, or rectify any acts of violation of the Policy, Terms and Conditions or any acts of fraud, crime, or dishonesty in relation to the Program and Points, including:


(i) Cancel or invalidate Points/WAON Vouchers already issued to Members and/or prevent Members from earning Points or redeeming WAON Vouchers;


(ii) Cancel Members’ right to membership of the Program or any other promotion program hosted/co-hosted by Us and/or prevent or restrict the Members’ access into the Program, the Mobile Applications;


(iii) Report activities suspected as illegal to competent authorities, cooperate with such authorities and provide all information about the Members and/or transactions relevant to the investigation process;


(iv) Cancel or invalidate any purchase orders involving the use of Points/WAON Vouchers without having to provide any vouchers, discounts, promotional offers, or any other form of compensation as a substitute.


(v) Recall and/or deduct any amount of money payable to Members which are then at our disposal in order to indemnify Us for any and all losses and/or damages as well as any and all reasonable fees and expenses incurred by Us during investigation, detection and implementing the Policy, Terms and Conditions; and/or


(vi) Take any other actions, including legal actions, that We deem appropriate in order to protect the interests of Ours, Our Affiliates’, and other third parties’.


8.1.6. We are not responsible for resolving any matters related to the rights of Members if the information provided by Members is incomplete and/or inaccurate, or other complaints are not in accordance with the Policy, Terms and Conditions.


8.2. Our Responsibilities


8.2.1.To support Members to check and answer Members’ enquiries or complaints.


8.2.2. Upon receiving complaints from Members, We will verify the information provided by Members. Accordingly, We will provide appropriate solutions subject to the severity of the incident. In all cases, Our decision will be the final decision and applicable to all Members.


8.2.3. To ensure the technical standards for the operation of the Mobile Applications and management of the WAON POINT Program so that Members are eligible for receiving WAON Points, accumulating WAON Points, redeeming accumulated WAON Points into WAON Vouchers and using the WAON Vouchers in accordance with the Policy, Terms and Conditions.


8.2.4. o ensure favorable conditions for the Members to enjoy all their entitled benefits under the Program in accordance with the Policy, Terms and Conditions.


8.2.5. We commit to use the Members’ information for the purposes and scope as consented by Members in accordance with the Policy, Terms and Conditions, the Personal Data Protection Policy, and the laws, in a manner that ensures Members’ honor, dignity, and reputation remain undamaged.
